With regard to supporting you the client's organization, please accept this agreement so Bluedog (Blue Dog Inc) may provide government marketing, proposal writing and management, content/subject matter expertise and other consulting support services.
Consulting Services
You the client are retaining Bluedog to perform consulting services pertaining to your government marketing efforts, as well as other activities (ad hoc) as assigned. Bluedog will collaborate with your organization, you, your officers, staff, and others you designate. Our team, led by Tom Termini, will draw down from a bucket of hours per month to be used for Bluedog to provide our consulting services. We will track and management task assignments through Bluedog's Workbench “Always on the Job!” online collaboration tool.
Reserved Time Devoted by Bluedog
You the client are reserving a minimum of number of hours per month for Bluedog to undertake services we provide. This is a retainer “bucket of hours” that will be drawn down over the period, and is allocated at the first of each month. Upon request, Bluedog will report on the total of hours utilized for this effort at its conclusion. The amount of time may vary from week-to-week, based on the level of effort we are committing to. We can revisit the hours allocated, if needed, when this agreement renews.
Timeframe of Agreement
This agreement will commence upon receipt of retainer payment via ACH or wire. This agreement may be extended within 30 days of expiration, if both parties agree, for a term of the client’s determination (minimum 3 months). Should this agreement be extended, either party may cancel early, with 30 days advanced written notice, subject to a one-time cancellation payment, as described under Compensation.
Compensation
Compensation is based on our hourly rate. Payment to be made electronically (via ACH or wire) in advance as retainer. Any subsequent payments would be due on the first day of the upcoming month. We will submit an invoice seven days ahead of due date. If you cancel this agreement early, you the client agree to make a one-time cancellation payment, due immediately, in the amount of $2,500.00, in addition to any outstanding compensation and late fees. Materials expenses or other direct project costs will be pre-authorized by you, the client, and we will invoice those amounts (if any) separately.
In event of default, you the client authorize the recording of a confessed judgment against you in favor of us for all indebtedness owed in connection with this agreement, including but not limited to interest on the debt, service charges, and any reasonable costs. Bluedog is a corporation organized in the state of Maryland. If any part of this agreement is not valid, all other parts will remain in effect, in accordance with the laws of Maryland.
Independent Contractor
You the client and Bluedog agree that Bluedog staff are and will continue to act as independent contractors in the performance of our duties under this agreement. Accordingly, Bluedog is responsible for all applicable taxes or other general/administrative costs arising from our activities. Neither Bluedog nor client will, without the prior written consent of both parties, either directly or indirectly, on their own behalf or in the service or on behalf of others, solicit or attempt to solicit, divert or hire away any person employed by Bluedog or the client. We will ask for your approval before we incur the cost of any direct expenses; those expenses will be invoiced at the end of this effort, due upon receipt. Nothing contained in this workplan makes either of us partners, joint venturers, or employees of the other.
Location of Services Rendered
As an independent contractor, Bluedog will perform service at whatever location of our discretion, remotely to, and unsupervised by, the you, the client. Bluedog will perform services, attend meetings, transmit data on the telephone, internet, or at other such venue or places as necessary. All SAAS application and data maintained in US-based cloud facilities.
SAAS SLA
You the client are being provided access to Bluedog's Workbench “Always on the Job!” comprehensive ERP/CRM and project management online platform. We are committed to delivering quality service to our clients through our Workbench 'Always on the Job!'©. We will provide training and data migration as requested. Service Levels are based on 96.8% uptime. You may avail yourself of our 24/7 service desk support to address any inquiries, concerns, or technical issues promptly, and for tasking Bluedog for ad hoc assignments. Workbench provides regular backups. You always exclusively own all your data in Workbench.
Confidential and Nondisclosure
Bluedog agrees to enter into a confidential relationship with you, with respect to the disclosure of certain proprietary and confidential information, going forward. Bluedog agrees to secure any confidential information received by us from you in carrying out our duties and services under this agreement, such as proprietary processes, financial or personnel data, or other information related to typically non-public business affairs of the client. We both represent that we are fully authorized to undertake the performance of work and that neither of us will violate or infringe upon the rights of any third party or any law or governmental regulation. We both agree that neither of us is liable to the other or any third party for any damages resulting from any part of this effort, such as loss of revenue or anticipated profit, or lost business, costs of delay, or failure of delivery. All work product resulting from our efforts under this agreement will be transferred as the sole property of you, the client, at the end of this effort. You always exclusively own all your data in Workbench. Mutual confidentiality remains in place for both of us, for a period of three (3) years after the conclusion of work we perform for you.
